Public Markets

We have a wealth of experience in sponsoring your company for a listing on either the Main Board or Growth Enterprise Market (“GEM”) in Hong Kong and arranging the capital you need. We can work in other markets with correspondents there.

We offer:

  • Overall project management – we help all parties meet required deadlines
  • Due diligence and legal preparation – we manage the prospectus content and ancillary legal documents
  • Regulatory submissions – we liaise with the stock exchange and regulatory authorities in Hong Kong or elsewhere
  • Marketing – we structure a marketing programme and marketing materials including analysts briefings, syndicate briefings and road show presentations
  • Valuation – we dovetail theoretical valuation with market response to optimise the price in a public offer and after market performance
  • Distribution – we place your securities with a broad base of investors to optimise liquidity in them
Private Placements

The private placement of securities directly or indirectly to a number of sophisticated investors offers you a universe of long term capital providers outside the public markets.

We have distribution channels that encompass:

  • Venture capital
  • Mezzanine issues
  • Private equity
  • Fixed income securities
  • Convertible bonds
  • Bank and other loans

The private placement markets offer you capital with less disclosure and fewer compliance obligations than are required by the public markets.

A typical private placement process will entail:

  • Background research on the company and industry
  • Preparation of a “teaser” and an information memorandum
  • Approaching a select list of potential investors
  • Evaluation of offers
  • Negotiation of terms
